Frequently Asked Questions

1 - What is The Territory Golf and Country Club?

The Territory Golf and Country Club is a membership-oriented club organized to provide an opportunity to enjoy the golf course, the extensive golf practice facilities, dining facilities and swimming pool facilities with other members and guests, and to participate in various social activities and events.

2 - What facilities are currently available for use at The Territory Golf and Country Club?

The facilities provided at The Territory Golf and Country Club which are collectively referred to herein as the “Club Facilities” currently include the following.

  • 18-hole championship golf course designed by Heckenkemper Golf Course Design of Tulsa, Oklahoma
  • Golf practice facility offering a practice range, putting green, chipping green and three par 3 practice holes
  • “Golf House” providing a full service golf shop, a den and administrative offices
  • “Prairie House” providing a pool bar and grill, changing rooms, restroom facilities and a dining room and outdoor patio seating
  • Outdoor swimming pool
  • Sports court
  • Event lawn for special events and private parties
  • Fishing lake
  • Croquet lawn
3 - Will any additional facilities be provided at The Territory Golf and Country Club?

In addition to the facilities described above, the Club will begin construction of a clubhouse area no later than the enrollment of three hundred Full Golf Members. It is anticipated that the clubhouse area will include men’s and women’s locker rooms and dining facilities with a bar and lounge. The construction of the clubhouse area and the construction schedule and opening dates are subject to the Club obtaining all necessary governmental approvals and permits, weather conditions, and other factors as determined by the Club.

4 - Is The Territory Golf and Country Club a member-owned equity club and if not, who currently owns and operates the Club Facilities?

No. The Territory, LLC, an Oklahoma limited liability company, doing business as The Territory Golf and Country Club (collectively, the “Club”) currently owns the Club Facilities and Oil City Management, LLC, an Oklahoma limited liability company. Currently Touchstone Golf operates the Club Facilities. The Club Facilities are operated and maintained as a right-to-use facility on a for-profit basis. A membership at The Territory Golf and Country Club allows the member to use certain of the Club Facilities, but does not provide the member with any ownership interest in the Club or the Club Facilities.

5 - Are members at The Territory Golf and Country Club subject to any operating assessments?

No. Members are not subject to any assessments for operating deficits incurred in the operation of the Club Facilities.

The payment of dues, fees, club minimums, usage minimums, other use fees and charges (including but not limited to, food and beverage purchases, locker fees, bag storage fees, etc.), state taxes, service charges and other personal charges, and late fees and interest on delinquent club accounts that the Club may establish from time to time (collectively, the “Club Fees”) is required to obtain and maintain membership privileges at The Territory Golf and Country Club and is not considered an operating assessment.

6 - What classifications of membership are available at The Territory Golf and Country Club?

The Club is offering the following six general classifications of membership: “Full Golf Membership”, "Young Executive Membership", “Corporate Membership”, “National Membership”, “Hero Membership”, and “Social Membership” (collectively, the “Club Memberships”).

7 - What are the privileges of a Full Golf Membership?

A Full Golf Membership allows the use of all of the Club Facilities and to attend club-sponsored events held at the Club Facilities on a space available basis, upon payment of the required non-refundable membership fee and all applicable dues and other Club Fees. Full Golf Members will not be charged green fees or cart fees for use of the golf course, but shall pay all personal charges incurred at the Club and all other Club Fees established by the Club. Full Golf Members are eligible to reserve advance starting times in accordance with the policy set forth in the current Rules and Regulations, and are eligible to participate in member golf tournaments at the Club on a space available basis upon payment of applicable fees.

8 - What are the privileges of a Young Executive Membership?

A Young Executive Membership allows the use of all of the Club Facilities and to attend club-sponsored events held at the Club Facilities on a space available basis, upon payment of the required non-refundable membership fee and all applicable dues and other Club Fees. Young Executive Members will not be charged green fees or cart fees for use of the golf course, but shall pay all personal charges incurred at the Club and all other Club Fees established by the Club. Young Executive Members are eligible to reserve advancestarting times in accordance with the policy set forth in the current Rules and Regulations, and are eligible to participate in member golf tournaments at the Club on a space available basis upon payment of applicable fees.

9 - What are the privileges of a Corporate Membership?

A Corporate Membership shall be owned in the name of a company, limited liability company, corporation, partnership, trust or other form of multiple ownership (the “company”). The company must be an active, on-going operating business or trust. A company formed for the purpose of acquiring a membership shall not qualify; and the Club shall determine, in its sole discretion, whether a particular company is eligible and qualifies to obtain a Corporate Membership. The company, as the actual member and owner of the membership, shall designate one primary designee and may designate up to an additional three associate designees of the membership use privileges. The designee(s) of the membership use privileges must be an officer, director, partner, owner or employee of the company (or in the case of a trust a trustee, donor or principal beneficiary), must submit an Application for Designee Use Privileges, and be approved by the Club. The company shall be responsible for the payment of the required non-refundable membership fee established by the Club from time to time for each designee. The primary designee and each associate designee of a Corporate Membership shall have the same privileges to use the Club Facilities and shall pay the same dues and other Club Fees as a Full Golf Member. Any and all of the associate designees of a Corporate Membership may be recalled by the Club at any time, in the sole discretion of the Club, upon sixty days prior written notice to the company and the particular designee being recalled. Upon recall of an associate designee, all use privileges of the recalled designee(s) shall terminate upon expiration of the sixty-day notice period and the Club shall repay to the company 100% of the actual membership fee previously paid to the Club for the particular associate designee(s) being recalled. The company may change the designee(s) of the membership use privileges upon approval of the new designee by the Club and payment of the applicable non-refundable change of designee fee to the Club.

10 - What are the privileges of a National Membership?

A National Membership is available to persons who have their (i) principal residence, and (ii) principal place of business, located outside the Oklahoma Counties of Comanche, Cotton, Grady, Jefferson, and Stephens. A National Membership allows the use of all of the Club Facilities and to attend club sponsored events held at the Club Facilities on a space available basis, upon payment of the required nonrefundable membership fee and all applicable dues and other Club Fees. National Members will not be charged green fees or cart fees for use of the golf course, but shall pay all personal charges incurred at the Club and all other Club Fees established by the Club. National Members are eligible to reserve advance starting times in accordance with the policy set forth in the current Rules and Regulations, and are eligible to participate in member golf tournaments at the Club on a space available basis upon payment of applicable fees. The Club reserves the right to reclassify the National Membership as a Full Golf Membership, as applicable, in the event (i) the National Member no longer maintains his/her principal residence and principal place of business outside the designated counties of Oklahoma, or (ii) the National Member uses the golf facilities in a manner consistent with that of a typical or average Full Golf Member. In addition, the Club reserves the right to establish limits on the number of rounds of golf which may be played by a National Member on a weekly, monthly or annual basis.

11 - What are the privileges of a Hero Membership?

A Hero Membership is available to those persons who are serving on active duty in the military, retired military with a minimum of 10 years of service, Police, Fire, Ent, First Responders, and Educators. A Hero Membership allows the use of all of the Club Facilities and to attend club-sponsored events held at the Club Facilities on a space available basis, upon payment of the required non-refundable membership fee and all applicable dues and other Club Fees. Hero Members will not be charged green fees or cart fees for use of the golf course, but shall pay all personal charges incurred at the Club and all other Club Fees established by the Club. Hero Members are eligible to reserve advance starting times in accordance with the policy set forth in the current Rules and Regulations, and are eligible to participate in member golf tournaments at the Club on a space available basis upon payment of applicable fees.

A Hero Membership shall automatically be resigned without refund of any membership fee, dues and other Club Fees previously paid to the Club on the last day of the month in which such member leaves the military.

12 - What are the privileges of a Social Membership?

Social Membership allows the member to select use privileges in one of the following two dues categories prior to the beginning of each membership year, upon payment of the required non-refundable membership fee and all applicable dues and other Club Fees. Once selected, the dues level can not be changed until the following membership year without the Club’s prior approval, in its sole discretion. Unless changed by the member in accordance with the procedures established by the Club, Social Members shall have the same dues level they had the prior membership year. Each dues level shall have
the following use privileges.

Sports Dues.
Social Members selecting the Sports Dues will be permitted to use the Golf House, swimming pool, Prairie House and clubhouse area (once constructed), and to attend designated clubsponsored non-golf events held at the Club. Social Members paying Sports Dues shall also have the opportunity to use the golf practice facilities including the practice range, putting green, chipping green and the three par 3 practice holes. However, these members shall have no access to use the golf course,
except as a guest of another member and payment of the applicable guest fees. Social Members paying Sports Dues shall pay all personal charges incurred at the Club and all other Club Fees established by the Club.

Dining Dues.
Social Members selecting the Dining Dues will be permitted to use the dining facilities provided at the Club and to attend designated club-sponsored non-golf events held at the Club. Social Members paying Dining Dues shall pay personal charges incurred at the Club and all other Club Fees established by the Club. Social Members paying Dining Dues shall have no access to the golf course, golf practice facilities including the practice range, putting green, chipping green and the three par 3 practice holes, and swimming pool, except as a guest of another member and payment of the applicable guest fees.

13 - Will my family be welcome at the Club?

Yes. The ability to spend quality time with family is of paramount importance at The Territory Golf and Country Club. The Club is committed to providing a family friendly environment.

A membership allows the primary member or designee and his/her “immediate family members” to use the Club Facilities. “Immediate family members” include the current legal spouse of the primary member or designee (i.e., legally married as recognized by the state of Oklahoma) who is living in the same household as the primary member or designee, and the unmarried children of each who are under the age of twenty-three and (i) living in the same household as the primary member or designee, (ii) attending school on a full-time basis, or (iii) serving in the military.

14 - Will extended family members have any preferential fees to use the facilities?

The Club may allow other members of the primary member’s or designee’s “extended family” to use the facilities enjoyed by the member, subject to availability, upon payment of applicable reduced guest use fees and compliance with the rules established by the Club. “Extended family” includes the children of the primary member or designee and his/her spouse who do not fall within the definition of “immediate family members”, and the parents and grandchildren of the primary member or designee and his/her spouse. Extended family members may play up to six rounds of golf per year at the extended family rate and must be accompanied by the sponsoring member or designee.

15 - May I invite guests to use the Club Facilities?

Yes. It is the intention of The Territory Golf and Country Club to accommodate guests without inconvenience to the members in accordance with the guest policy of the Club and the Rules and Regulations.

16 - Who is eligible to obtain membership privileges?

Membership at The Territory Golf and Country Club is available by invitation only. Invitations may be extended only by the Club.

The Club is currently offering the opportunity to make application for an available membership to persons who own residences or homesites in The Territory Golf and Country Club or other designated residential communities and to persons who do not own residences or homesites in The Territory Golf and Country Club or other designated residential communities, and desire to use the Club Facilities, and are approved for membership by the Club.

The owner of a residence or homesite in The Territory is required to submit to the Club an Application for Membership Privileges and Membership Agreement (along with any required non-refundable membership fee) within thirty days of closing on the purchase of such residence or homesite in The Territory, and if accepted by the Club, such owner must maintain at least a Social Membership at the Club.

Persons who are acquiring a residence or homesite in The Territory and obtain a Full Golf Membership within sixty days of closing on the purchase of such residence or homesite shall have the opportunity to arrange for the Club to reissue their Full Golf Membership to the subsequent purchaser of their residence or homesite in The Territory as further described in Question #22.

17 - How do I become a member and how does the membership application process work?

A prospective member desiring a membership must deliver to the Club a fully completed and signed Application for Membership Privileges and Membership Agreement, and pay to the Club the required non-refundable membership fee.

Each person submitting an Application for Membership Privileges and Membership Agreement must be sponsored by an existing member in good standing or a representative of the Club, and attend an interview if requested by the Club.

The determination of whether an applicant will be invited for membership shall be made by the Club in its sole discretion. Once all required information has been submitted to the Membership Office, the Club and/or its designees shall evaluate each Application for Membership Privileges and conduct such investigation and consideration of the applicant, as it deems appropriate.

In the event the Application for Membership Privileges is acted upon favorably by the Club, the Club will so notify the applicant immediately and invite the applicant to membership. Following approval by the Club, the new member must attend a member enrollment session conducted by the Membership Office.

If the Application for Membership Privileges is not acted upon favorably, the Club shall notify the applicant that he/she will not be invited to membership and the Club shall return any membership fee previously paid to the Club, without interest, within ten days.

18 - What does a prospective member pay to obtain membership privileges at The Territory Golf and Country Club?

To obtain a Club Membership the applicant shall pay the applicable non-refundable membership fee to the Club, unless otherwise established by the Club.

The amount of the membership fee and the manner of payment of the membership fee shall be established by the Club from time to time, and is further described in the member's Membership Agreement. The required membership fee will be the amount charged on the date the applicant submits his/her Membership Agreement to the Club. Unless otherwise provided in a member’s Membership Agreement, the required membership fee shall be due in full at the time the Membership Agreement is submitted to the Club.

19 - Is any portion of the membership fee paid for a Club Membership refundable?

No.

20 - Can Club Memberships be transferred directly to any other person?

No. Members may not sell, transfer or otherwise assign their membership privileges except to the Club.

21 - What is the membership resignation process?

Club Members who desire to resign their membership must give the Club at least thirty days prior written notice of their resignation. Only members who are in good standing and current on all dues and other Club Fees may submit a written resignation. Members who have submitted a written resignation to the Club shall not be permitted to revoke and rescind such resignation without the prior approval of the Club, in its sole discretion. The membership resignation will become effective on the last day of the calendar month in which (i) the thirty-day notice period expires and (ii) the member has paid all dues and other Club Fees in full and has satisfied all outstanding obligations to the Club. Any member who has submitted a written resignation of membership shall not be permitted to re-apply for membership at The Territory Golf and Country Club for a period of two years, unless otherwise permitted by the Club in its sole discretion.

Dues and other Club Fees must be paid through the effective date of membership resignation, and therefore, Club Memberships shall terminate without refund of any membership fee, dues and other Club Fees previously paid to the Club on the effective date of membership resignation.

22 - Who is responsible for the operation of the Club Facilities?

The Club is responsible for the Club Facilities and has the exclusive authority to accept members, establish membership fees, dues and other Club Fees, establish rules and regulations, establish all policies relating to the Club Facilities and the use thereof, and control the management and affairs of the Club Facilities.

23 - How will the Club keep informed on the desires of the membership?

The Club has established an Advisory Board to (i) act in an advisory capacity only to the Club, (ii) foster good relations between Club Members and management of the Club Facilities, (iii) provide member input on programs and activities provided at The Territory Golf and Country Club, and (iv) exercise such powers and authority as the Club may grant to it from time to time.

The Advisory Board is composed of members appointed by the Club from time to time.

24 - How are dues and other Club Fees established?

The Club shall establish the amount of dues and other Club Fees to be paid by each member at The Territory Golf and Country Club from time to time.

Dues shall be payable in advance on or before the first day of each month during the membership year, unless otherwise established by the Club.

25 - Are members subject to any capital assessments?

Club Members are not subject to assessments for capital improvements to the Club Facilities (including developing additional facilities or adding to or expanding existing facilities) unless the proposed capital assessment is approved by the Club and seventy-five percent of the affected members as follows. Assessments for capital expenditures to the golf facilities require the approval of seventy-five percent of all of the Full Golf Members, National Members, Military Members (and any previously issued Provisional Golf Members) and all designees named under Corporate Memberships; and if approved, such assessment shall be prorated equally among all Full Golf Members, National Members, Military Members (and any previously issued Provisional Golf Members) and all designees named under Corporate Memberships. All other assessments for capital expenditures require the approval of seventyfive percent of all members at The Territory Golf and Country Club, including all designees named under Corporate Memberships; and if approved, such assessment shall be prorated equally among all members at The Territory Golf and Country Club, including all designees named under Corporate Memberships. All assessments for capital improvements to the Club Facilities must be approved by the Club prior to seeking member approval.

26 - Will the Club Facilities be available for use by non-member users?

The Club may, in its sole discretion, permit persons other than members and designees and their immediate family members and guests to use the golf and the non-golf facilities of the Club under terms and conditions determined by the Club. As membership levels are being developed, blocks of time, including primary playing times and other starting times, will be available for non-member play.

27 - Will Club Members have the opportunity to negotiate the purchase of the Club Facilities if they are ever sold?

Yes.
